Supplier Agreement

27 Oct 2026 ·

1. Parties and scope

This agreement is between Saharahosts Technologies Limited, registered in Nigeria under company number RC-1762705, with its registered office at 22 Faulks Road, Aba, Abia State, Nigeria (“Fonecia”), and the business that opens a supplier store on Fonecia.com (“you”, the “Supplier”).

It sets the terms on which you sell goods to buyers through Fonecia.com. It adds to the Fonecia.com Terms and Conditions of Use, the Refund and Returns Policy, the Prohibited and Restricted Items list and the Privacy Policy, which also apply to you. If this agreement conflicts with the Terms on a matter specific to suppliers, this agreement applies.

You accept this agreement when you tick the box during supplier sign-up or when you first list a product, whichever comes first. The person accepting confirms they are authorised to bind the Supplier. Fonecia may also ask you to sign it.

2. Joining and verification

You must be a manufacturer or trading company legally registered in China, India or another country Fonecia accepts, with the right to export the goods you sell.

Before your store goes live, and whenever we ask, you must provide:

  • Business licence or certificate of incorporation, and tax registration (for example a Unified Social Credit Code in China, or GSTIN and IEC in India)
  • Government ID of the legal representative or an authorised director, and written authority for the person managing the store
  • Factory address and, for manufacturers, evidence of production capacity such as photos, a video tour or an audit report
  • Bank account details in the Supplier’s registered company name
  • For restricted items, the documents in the Prohibited and Restricted Items list

You confirm that everything you provide is true and complete, and you must update it within 14 days of any change. Fonecia may verify documents with third parties, visit or arrange an audit of your premises, and refuse or withdraw approval at its discretion. A verification badge shows only that we checked your documents; you may not describe it as a guarantee or endorsement by Fonecia.

3. Listings and product standards

Every listing must:

  • Show real photos of the actual product, and state its country of manufacture and manufacturing hub accurately
  • Give complete and accurate specifications: materials, dimensions, weight, tolerances, certifications held, packaging, minimum order quantity, price tiers, lead time and whether samples are available
  • Show prices in US dollars and the delivery term the price is based on (for example EXW, FOB or CIF), unless Fonecia agrees otherwise
  • Contain no contact details, links or payment instructions that send buyers outside Fonecia
  • Comply with the Prohibited and Restricted Items list

You must keep stock and lead times up to date and remove a listing you can no longer supply. Certifications you claim must be valid and available to show buyers and Fonecia on request.

Fonecia may review, edit for format, reject or remove listings, and new listings may need approval before they appear.

4. Orders, quotes and delivery

Your sale. Each order is a contract of sale between you and the buyer. You are the seller and exporter, and you are responsible for the goods, their quality and their delivery under the agreed terms.

Confirming orders. You must confirm or decline each paid order within 2 working days. Once confirmed, you must supply at the agreed price, quantity, specification and lead time. If you can’t, tell the buyer and Fonecia at once; the buyer may cancel for a full refund.

Quotes and buying requests. Quotes you send through Fonecia, including on buying requests, are binding offers for the validity period you state. Their terms become part of the order when the buyer accepts. You may quote on buying requests only for goods you can actually supply.

Shipping. You must:

  • Pack goods for international transport, with labels and shipping marks as agreed
  • Ship within the agreed lead time, and upload the carrier name and tracking number or bill of lading within 2 working days of shipping
  • Provide the export documents the delivery term requires, such as the commercial invoice, packing list, certificate of origin and any certificates or test reports promised
  • Follow dangerous goods rules for restricted items such as batteries and chemicals

Delivery terms, transfer of risk and who pays freight, insurance and duties follow the delivery term in the order or quote.

5. Quality, refunds and disputes

Goods must match the listing, the accepted quote and any sample the buyer approved, and be free from defects in materials and workmanship for 12 months from delivery or the longer warranty you state.

You must:

  • Allow buyers to arrange pre-shipment inspections at your premises with reasonable notice
  • Respond to refund and return requests within 3 working days, and handle them under the Refund and Returns Policy
  • Pay return shipping, replacement shipping and the cost of an independent inspection where the goods are found faulty, wrong, short or not as described
  • Keep all communication about an order on Fonecia

If a buyer escalates a dispute, Fonecia decides it under the Refund and Returns Policy, using the evidence from both sides. You agree to accept Fonecia’s decision about the payment it holds, and to let Fonecia refund the buyer from that payment, from your other earnings or by invoicing you. This doesn’t prevent you from taking your own claim against the buyer to court.

6. Commission, fees and payouts

You appoint Fonecia as your limited agent to collect payment from buyers for your orders. A buyer’s payment to Fonecia counts as payment to you.

Holds and deductions. Earnings for an order stay on hold while a refund request, dispute or chargeback is open. Fonecia may deduct from your earnings or future payouts: commission, approved refunds, chargebacks and their fees, inspection costs found against you, and other amounts you owe under this agreement. If your earnings don’t cover what you owe, you must pay Fonecia’s invoice within 14 days.

Reserves. For new suppliers, suppliers with high claim rates, or where we suspect fraud, Fonecia may hold earnings for up to 90 days.

Taxes. You are responsible for tax on your sales and income, and for export taxes and duties in your country. Commission is shown before any tax Fonecia must add. Fonecia will give at least 30 days’ notice of any increase in commission or fees.

If a store misses a target, Fonecia may first send a warning and ask for an improvement plan. If it keeps missing targets, Fonecia may lower the store’s position in search, remove its verification badge, hold payouts longer, or suspend the store under section 12.

8. Legal compliance

You must comply with all laws that apply to your business and your goods, including:

  • Export and sanctions law. Hold any export licence your goods need, and not sell to sanctioned people, companies or destinations, or for prohibited end uses. Tell Fonecia at once if you, your owners or your directors become subject to sanctions.
  • Product safety and labelling. Make goods that meet the safety, labelling and certification rules you claim and those of the buyer’s market you are told about. Tell Fonecia and affected buyers within 2 working days if you learn of a safety defect or recall.
  • Labour and sourcing. Not use forced, prison or child labour, and meet the labour, health and safety and environmental laws of your country. Source minerals, timber and wildlife products legally and with traceable origin.
  • Anti-bribery and fraud. Not offer or accept bribes, including to Fonecia staff, customs or other officials, and not take part in money laundering or false invoicing.
  • Tax and customs. Issue correct commercial invoices showing the real value and origin of the goods.

You must keep records that show you comply for at least [5] years and give them to Fonecia when it reasonably asks.

9. Content and intellectual property

You keep ownership of your store content: product photos, descriptions, videos, logos and trademarks. You give Fonecia a worldwide, non-exclusive, royalty-free licence to host, display, translate, reformat and use that content on Fonecia.com, in its emails and apps, and in advertising and social media to promote your products and the marketplace. The licence lasts while your store is open and for 90 days after it closes, for content already in use.

You confirm that you own or are licensed to use everything you upload and every brand on your goods, and that none of it infringes anyone else’s rights. When you make goods with a buyer’s logo or design, you must check the buyer’s right to use it.

You may describe yourself as a “Supplier on Fonecia.com” and link to your store. Any other use of the Fonecia name or logo needs Fonecia’s written permission.

10. Data, confidentiality and non-circumvention

Buyers’ personal information. You receive buyers’ names, company details, addresses and contact details only to fulfil their orders, quotes and enquiries. You must:

  • Use that information only for those purposes, and not for marketing unless the buyer agrees
  • Keep it secure, limit access to staff who need it, and not sell or share it except with your carriers and inspectors for the order
  • Delete it when no longer needed, except where the law requires you to keep records
  • Tell Fonecia within 72 hours if it is lost, stolen or accessed without permission
  • Comply with the data protection laws that apply to you and to the buyer

Confidentiality. Information Fonecia shares with you that isn’t public, such as buying requests, buyer details, commission terms and platform data, is confidential. You may use it only for selling on Fonecia and must not disclose it, during this agreement and for 2 years after it ends.

No going around Fonecia. For 12 months after you first deal with a buyer through Fonecia, you must not ask or encourage that buyer to order or pay outside Fonecia, or accept such an order for goods first offered on Fonecia. If you do, you must pay Fonecia the commission it would have earned on those sales, and Fonecia may suspend your store.

11. Liability, indemnity and insurance

Your responsibility. You are responsible for your goods, listings, quotes and conduct, and for your staff and subcontractors.

Indemnity. You agree to cover Fonecia’s losses, fines and reasonable legal costs arising from claims by buyers, rights holders, regulators or others caused by: your goods (including product liability and recalls), your listings or content, intellectual property infringement, your breach of this agreement, or your breach of the law, including export, sanctions, customs and data protection law.

Fonecia’s liability. Fonecia provides the marketplace “as is” and doesn’t promise any level of sales. To the extent the law allows, Fonecia is not liable for loss of profit, business or goodwill, or for indirect or consequential loss, and its total liability to you in any 12 months is limited to the commission you paid in that period. Nothing limits liability for fraud or anything that can’t be limited by law.

Insurance. Suppliers of electrical goods, children’s products, vehicle parts, medical devices and food must hold product liability insurance of at least US$ 1,000,000 per claim, covering goods exported to buyers’ countries, and show evidence on request.

12. Suspension, termination and general terms

Suspension. Fonecia may suspend your store, remove listings or hold payouts at once if it reasonably believes you have broken this agreement or the law, provided false documents, put buyers at risk, or missed service standards repeatedly. We will usually explain why and give you a chance to respond, unless the law, security or a risk of fraud prevents it.

Ending the agreement. You may close your store with 30 days’ notice from your dashboard. Fonecia may end this agreement with 30 days’ notice for any reason, or at once for a serious breach. When it ends, you must complete or cancel confirmed orders as Fonecia directs and handle claims on past orders. Fonecia pays your remaining earnings after the claim period for your last orders, less amounts you owe. Sections 5, 6, 8, 9, 10 and 11 continue to apply after the agreement ends.

Changes. Fonecia may update this agreement with at least 30 days’ notice by email or in your dashboard. If you keep selling after the change takes effect, you accept it; if you don’t agree, you may close your store before then.

Governing law and disputes. This agreement is governed by the laws of Nigeria. Disputes that can’t be settled by negotiation within 30 days will be resolved by the courts of Abuja, Nigeria / arbitration under the rules of International Centre for Arbitration & Mediation seated in Abuja, in English.

General. You are an independent business, not Fonecia’s employee, partner or agent except for collecting payments. You may not transfer this agreement without Fonecia’s written consent. If any part is unenforceable, the rest still applies. If this agreement is translated, the English version applies. Notices to Fonecia go to legal@fonecia.com; notices to you go to your store’s registered email.
