Terms and Conditions of Use

1. About these terms

These terms are the agreement between you and Saharahosts Technologies Limited, registered in Nigeria under company number RC-1762705, with its registered office at 22 Faulks Road, Aba, Abia State, Nigeria (“Fonecia”, “we”, “us”). They govern your use of Fonecia.com, including browsing, buyer and supplier accounts, buying requests, quotes and orders.

By using Fonecia.com or creating an account, you accept these terms. If you use Fonecia for a company, you confirm you are authorised to accept them on its behalf, and “you” includes that company. If you don’t agree, don’t use the site.

“Buyer” means anyone who buys or asks for quotes on Fonecia. “Supplier” means a manufacturer or trading company that sells through a store on Fonecia.

2. Accounts and eligibility

Fonecia is a business-to-business marketplace. To create an account you must be at least 18 and use Fonecia for your trade, business or profession.

You agree to:

  • Give true, current and complete information, including your legal company name, and keep it up to date
  • Keep your password secret and tell us at once if you think someone else has used your account
  • Take responsibility for everything done through your account, including by your staff
  • Hold only one buyer account and one supplier store per business, unless we agree otherwise

You may not use Fonecia if you, your company or its owners are subject to trade sanctions, or if we have previously closed your account.

3. Fonecia’s role

Fonecia provides the marketplace: the website, accounts, search, buying requests, payment collection and dispute handling. The contract for each sale is between the buyer and the supplier. Fonecia is not the seller, manufacturer, importer or carrier of the goods, and doesn’t take ownership of them.

We check suppliers’ business documents before giving them a verification badge, and we hold payments until orders are complete. A badge means we have seen documents that appeared genuine at the time; it is not a guarantee of a supplier’s quality, capacity or future conduct. You should still do your own checks, especially for large orders, such as ordering samples or arranging a pre-shipment inspection.

Suppliers are responsible for their listings, prices, products and delivery. Product information, specifications and certifications come from suppliers, and we don’t confirm that they are accurate.

4. Buying

Orders. An order is a binding offer to buy at the price, quantity and terms shown. It is accepted when the supplier confirms it. Prices shown are factory prices in US dollars unless stated, and exclude import duties, taxes and customs fees unless the listing says otherwise.

Quotes and buying requests. A quote is an offer from the supplier on the terms written in it, valid for the period it states. Its specifications, packaging, certifications and delivery dates become part of the order when you accept it. Buying requests must be genuine requirements; we may decline or remove any request.

Pay through Fonecia. Always pay through the site. Payments made directly to a supplier, or to any account other than one shown at Fonecia checkout, are not covered by our buyer protection or our Refund and Returns Policy. Tell us if a supplier asks you to pay outside Fonecia.

Import is your responsibility. You are the importer. You must make sure the goods may legally be imported and used in your country, provide correct delivery, tax and import details, and pay duties, taxes and customs charges. Ask the supplier in writing for any certificates or test reports your country requires before you order.

Delivery and risk. Delivery terms (for example EXW, FOB, CIF or DDP) are set out in the listing or quote. Risk of loss passes to you as those terms say; if none are stated, it passes when the goods are delivered to the address on your order.

5. Selling

Who can sell. Suppliers must be registered manufacturers or trading companies in China or India, or in another country we accept. We may approve or refuse any application.

Verification. You must provide the business documents we ask for, such as a business licence, company registration, tax registration and the ID of an authorised representative, and keep them current. Documents must be genuine; false documents lead to immediate closure of your store.

Listings. You must:

  • Own or be authorised to sell what you list, and describe it accurately: specifications, materials, tolerances, certifications, minimum order, price tiers and lead time
  • Make sure your products are legal to export from your country and hold the certifications you claim
  • Honour your listed prices and the quotes you send, for the period they are valid
  • Not copy other suppliers’ photos or descriptions, or use brand names you don’t have the right to use

Orders. You must confirm or decline orders promptly, ship within the agreed time, pack goods for international transport, upload tracking, and handle refund and return requests under our Refund and Returns Policy.

Contact with buyers. You may use a buyer’s information only to fulfil their order or answer their request. You may not ask buyers to pay outside Fonecia or move an order off the site.

6. Prohibited products and conduct

Products you may not list or buy on Fonecia:

  • Weapons, ammunition, explosives and their parts, and military or dual-use goods that need an export licence
  • Illegal drugs, controlled substances, and prescription medicines
  • Hazardous chemicals, radioactive materials and precursors, unless we have approved the supplier and the item in writing
  • Counterfeit, replica or unauthorised branded goods, and anything that infringes intellectual property
  • Endangered species, ivory and protected wildlife products
  • Stolen goods, or goods that are illegal to export from the supplier’s country or to import into the buyer’s
  • Anything else listed in our Prohibited Items list [link]

Trade sanctions. You must comply with the export control and sanctions laws that apply to you and to the goods. You may not use Fonecia to trade with sanctioned countries, people or companies, or to send goods to a destination or end user that is prohibited.

You may not:

  • Give false information, impersonate anyone, or post fake listings, quotes, buying requests or reviews
  • Ask for or make payment outside Fonecia for an order that started on Fonecia
  • Harass, threaten, spam or defraud other users
  • Scrape, copy or collect data from the site, or use buyers’ or suppliers’ details for marketing they didn’t agree to
  • Upload viruses, try to access accounts or systems that aren’t yours, or interfere with how the site works
  • Use Fonecia for money laundering or any other illegal purpose

We may remove listings or content and take the actions in section 11 if we believe these rules have been broken.

7. Fees and payments

Buyers use Fonecia free of charge. You pay the order total at checkout, plus any payment method fees shown before you pay.

Suppliers pay a commission of 5% of each order’s value, excluding shipping, or the rate in your supplier agreement. Fonecia deducts commission before paying you. We give at least 30 days’ notice before raising commission rates.

How payment works. Buyers pay Fonecia, and Fonecia collects the payment on the supplier’s behalf. A buyer’s payment to Fonecia counts as payment to the supplier. Supplier earnings become available to withdraw 14 days after an order is marked complete, and are held while a refund request or dispute is open. Fonecia may deduct approved refunds, chargebacks and fees from earnings or future payouts.

Taxes. Each party is responsible for its own taxes. Suppliers are responsible for the tax on their sales and income; Fonecia charges tax on its commission where the law requires.

8. Content, reviews and intellectual property

Your content. You keep ownership of what you post: listings, photos, descriptions, reviews, buying requests and messages. You give Fonecia a worldwide, non-exclusive, royalty-free licence to host, display, adapt and promote that content to run and market the marketplace, for as long as it is on the site and a reasonable time after. You confirm you have the rights to everything you post.

Reviews. Reviews must be honest and based on a real order. Suppliers may not offer anything in return for a review or pressure buyers to change one. We may remove reviews that break these terms, but we don’t edit what a review says.

Fonecia’s intellectual property. The Fonecia name, ship-and-coin logo, site design and software belong to us or our licensors. You may not use them without our written permission, except to link to Fonecia.com.

Infringement reports. If you believe content on Fonecia infringes your trademark, copyright or other rights, email legal@fonecia.com with the link, proof of your rights and your contact details. We will review it and may remove the content.

9. Other policies

These policies form part of these terms:

  • Privacy Policy: how we collect and use personal information [link]
  • Refund and Returns Policy: claims, returns, refunds and disputes [link]
  • Prohibited Items list [link]
  • Supplier Agreement, for suppliers: commission, payouts and service standards [link]

If one of these policies conflicts with these terms on its own subject, that policy applies.

10. Liability

The site. We work to keep Fonecia available and accurate, but we provide it “as is”. We don’t promise it will be uninterrupted or error-free, and we may change or remove features.

Goods. Because the supplier, not Fonecia, sells the goods, claims about quality, safety, delivery or warranty are against the supplier. Fonecia’s part is the refund and dispute process in the Refund and Returns Policy, using the payment we hold.

Limits. To the extent the law allows:

  • Fonecia is not liable for loss of profit, revenue, business, contracts or goodwill, or for indirect or consequential loss
  • Fonecia’s total liability to you for any claim is limited to the greater of the fees you paid us in the 12 months before the claim and US$ 100; for a buyer’s claim about an order, it is limited to the amount paid for that order through Fonecia

Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for anything else that can’t be limited by law.

Indemnity. You agree to cover Fonecia’s losses and reasonable legal costs from claims by others caused by your breach of these terms, your products or content, or your breach of the law, including import, export and sanctions law.

11. Suspension and closing accounts

If we reasonably believe you have broken these terms or the law, put other users at risk, or given false information, we may:

  • Remove listings, quotes, buying requests, reviews or other content
  • Remove a supplier’s verification badge or lower its visibility in search
  • Hold payouts for longer while we investigate
  • Suspend or close your account

We will usually tell you why and give you a chance to respond, unless the law, security or the risk of fraud prevents it.

You can close your account at any time from My Account or by contacting us. Orders, refunds and disputes already in progress must still be completed. When a supplier’s store closes, earnings due are paid after open orders and claims are settled, less any amounts owed to Fonecia. Sections that by their nature should survive closure, such as fees owed, liability and governing law, continue to apply.

12. Law, disputes and general terms

Governing law. These terms are governed by the laws of [country]. If you have a complaint about Fonecia, contact us first; we will try to resolve it within 30 days. If we can’t, the dispute will be settled by the courts of Abuja, Nigeria / arbitration under the rules of International Arbitration seated in Abuja, in English. This doesn’t remove any right you have under the law of your own country that can’t be excluded.

Disputes between a buyer and a supplier about an order go through the Refund and Returns Policy first.

Changes to these terms. We may update these terms as the marketplace or the law changes. The date at the top shows the latest version. We will give account holders at least 14 days’ notice by email or on the site before significant changes take effect. If you keep using Fonecia after that, you accept the new terms.

General. If any part of these terms is found unenforceable, the rest still applies. If we don’t enforce a right straight away, we can still enforce it later. You may not transfer your account or these terms to anyone else without our consent. These terms and the policies in section 9 are the whole agreement between you and Fonecia about using the site. If these terms are translated, the English version applies.
